Corporate Counsel – Commercial Transactions

About the role

Cognizant is seeking a Commercial Transactions Corporate Counsel to support its technology‑focused commercial activities across Latin America. The role involves advising business units, negotiating contracts, and ensuring compliance with applicable laws and company policies.

Key responsibilities

• Negotiate and draft commercial contracts, including MSAs, SOWs, change orders, amendments, supplier agreements and NDAs.
• Respond to legal queries from business teams on compliance, intellectual property, privacy, litigation and employment matters.
• Collaborate with fellow attorneys to create and maintain contract templates, playbooks, policies, negotiation practices and escalation procedures.
• Support cross‑functional teams across multiple time zones, managing workload fluctuations and meeting tight deadlines.

Required profile

• Minimum 3 years of in‑house legal experience at a large multinational corporation.
• Law degree with an LLM from a U.S. law school or at least two years of graduate study in the U.S. (preferred).
• Proven experience negotiating contracts governed by U.S. law and reviewing complex commercial agreements.
• Familiarity with IT outsourcing, SaaS agreements, and issues related to IP, licensing, privacy, indemnity and liability.
• Strong ability to work efficiently in a fast‑paced, ambiguous environment and commitment to ethical workplace practices.
