Corporate Governance Subject Matter Expert

About the role

World Business Lenders is seeking a Corporate Governance Subject Matter Expert to own the operating framework for entity management, corporate filings, resolutions, governance records, intellectual property administration, and support for corporate structuring. This role will ensure WBL's entities and governance documentation remain accurate, current, controlled, and ready to support business activity and expansion.

Key responsibilities

• Oversee the full lifecycle of entities, including formations, amendments, mergers, conversions, dissolutions, and withdrawals.
• Maintain authoritative entity records, organizational charts, officer/director information, ownership data, and good‑standing status.
• Draft and coordinate board, shareholder, and officer resolutions and consents using approved forms.
• Manage governance calendars, ensure timely approvals, and support reporting for audits, transactions, and financings.
• Oversee annual reports, franchise filings, foreign qualifications, and intellectual‑property registrations.
• Build and document scalable entity‑management policies, dashboards, and risk‑reporting processes.

Required profile

• Bachelor’s degree in legal studies, business, finance, accounting or related field (JD, paralegal or corporate‑governance credentials preferred).
• 5+ years of experience in corporate governance, entity management, legal operations, or securities administration, preferably in financial services or a highly regulated industry.
